Goal(s)
Students will know some rules about business law.
They will be able to comprehend the notion of legal risk in their future job.
They will know some rules of law as a management tool.
Finally, the objective is to give students the tools which will enable them to think from a law point of view in their professional environment.
Content(s)
This course allows future engineers to understand law as a management tool which makes the firm committing itself, incurring risks, but which also offers the firm a protection. This course is in line with firms internationalizations.
Introduction (2 h):
. Origins of law and legal organization
. Solving a conflict, more particularly in an international situation
. The firm and law (including patrimony)
Contracts law:
From a legal standpoint, the firm can be considered as a sum of contracts. The contract is the “law” of the one who “signs” it.
. Obligation notion
. Contracts: formation, procedure, end, penalties, classification
. Study of some specific contracts and clauses: commercial contracts, factoring, firms
. Individual relationships at work: formation, procedure, end of the contract of employment, specific clauses (invention, mobility, no-competition)
Firms law:
The firms law is closely linked to the economical evolution and to the risks that the firm manager wants to take.
. The contract in the society and its effects: the moral personality, the obligatory elements
. The main social forms (comparative, specific elements)
. Which legal form should we choose for a firm ?
Intellectual property law:
. Patents
. Brands
. Copyrights
